Welcome to Anexee. These Terms of Service ("Terms") govern your use of the Anexee platform and website operated by MJ Dares Technologies Private Limited ("Company", "we", "our", or "us"). By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the Anexee platform, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our platform or services.

2. Company Information

Anexee Info Solutions Pvt Ltd is a company incorporated under the laws of India. Anexee is our flagship Industrial IoT and Digital Intelligence platform designed for manufacturing, energy, and process industries.

3. Use of Platform

You agree to use our platform only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the platform. You may not:

• Use the platform in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems, networks, or data
• Introduce viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the platform to transmit any unlawful, harassing, or harmful content
• Interfere with or disrupt the integrity or performance of the platform

4. Intellectual Property

All content on the Anexee platform, including but not limited to software, text, graphics, logos, images, data visualizations, and documentation, is the property of Anexee Info Solutions Pvt Ltd or its licensors and is protected by Indian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written permission.

5. License and Subscription

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Anexee platform in accordance with your subscription plan.

Your subscription may be subject to separate licensing agreements, service level agreements (SLAs), and deployment-specific terms.

6. Data and Privacy

Your use of the platform is also governed by our Privacy Policy. We collect, process, and store data in accordance with applicable data protection laws. You retain ownership of your industrial data, and we will not use it for purposes other than providing and improving our services unless explicitly authorized by you.

7. Service Availability

While we strive to provide continuous service availability, we do not guarantee uninterrupted access to the platform. We may suspend or restrict access for maintenance, updates, or security reasons. We will provide reasonable notice for planned downtime where possible.

8. Disclaimer of Warranties

The Anexee platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be error-free, secure, or meet your specific requirements. You acknowledge that industrial automation and control systems require proper configuration, testing, and validation before deployment in production environments.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MJ Dares Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or downtime
• Equipment damage or malfunction
• Any damages arising from industrial processes or operations

Our total liability for any claims arising from your use of the platform shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MJ Dares Technologies Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any industrial incidents or operational failures related to your use of the platform

11. Third-Party Integrations

The Anexee platform may integrate with third-party systems, protocols, and services (including OPC, MODBUS, MQTT, and others). We are not responsible for the functionality, security, or availability of third-party systems. You are responsible for ensuring proper configuration and security of all integrations.

12. Termination

We reserve the right to suspend or terminate your access to the platform at any time for violation of these Terms, non-payment, or any other reason at our discretion. Upon termination, your license to use the platform will immediately cease.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the platform after any changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Anexee Info Solutions Pvt Ltd regarding your use of the Anexee platform.
